1. Acceptance of Terms
By accessing or using the MatataBrown website (matatabrown.org), making a donation, submitting a volunteer or partnership application, subscribing to our communications, or engaging with any of our online services, you confirm that you have read, understood, and agree to be bound by these Terms and Conditions in full.
If you are using this website on behalf of an organisation, company, or other legal entity, you represent that you have the authority to bind that entity to these terms. In that case, 'you' and 'your' refer to both you and the entity you represent.
If you do not agree with any part of these terms, please do not use our website or submit any information to us.
These terms apply to all visitors, donors, volunteers, partners, fundraisers, and any other users of our website or services. They should be read alongside our Privacy Policy, which explains how we collect and handle your personal information.
2. About Matatabrown Sight Care Foundation
Matatabrown Sight Care Foundation is a Nigerian non-governmental organisation (NGO) dedicated to eliminating preventable blindness and improving access to quality eye care across Nigeria and Africa. We are registered with the Corporate Affairs Commission (CAC) under registration number RC9495371 and operate as a charitable organisation under Nigerian law. All funds raised through our website are used exclusively to advance our mission.
Our work includes community eye screenings, provision of corrective eyewear, surgical support, school eye health programmes, awareness campaigns, and research into eye health access across underserved communities.
MatataBrown is committed to transparency, accountability, and the responsible use of all resources entrusted to us. We publish regular impact reports and financial summaries to demonstrate how donations are deployed.
For general enquiries about our organisation, programmes, or governance, please contact us at contact@matatabrown.org.
3. Use of This Website
You may use this website for lawful purposes only and in a manner that is consistent with the spirit of our charitable mission. We grant you a limited, non-exclusive, non-transferable licence to access and use the website for personal, non-commercial purposes in accordance with these terms.
Prohibited conduct
- Using the website in any way that violates applicable Nigerian or international laws or regulations.
- Transmitting any unsolicited or unauthorised advertising, promotional material, or spam.
- Attempting to gain unauthorised access to any part of the website, its underlying servers, databases, or any connected systems.
- Introducing viruses, trojans, worms, logic bombs, or any other material that is malicious or technologically harmful.
- Conducting denial-of-service attacks or any actions that overburden our infrastructure.
- Reproducing, duplicating, copying, or re-selling any part of the website in violation of these terms.
- Scraping, harvesting, or otherwise collecting data from this website using automated means without our prior written consent.
- Misrepresenting your identity or falsely claiming affiliation with MatataBrown.
- Using the website to collect or process personal data about other users without their knowledge or consent.
- Posting or submitting content that is defamatory, offensive, discriminatory, or harmful to any individual or group.
Our rights
- We reserve the right to suspend or permanently terminate access to the website for any user who violates these terms, without notice and at our sole discretion.
- We may modify, suspend, or discontinue any part of the website at any time without liability.
- We reserve the right to investigate and take legal action against any violations of these terms, including reporting to law enforcement authorities where appropriate.
4. Donations
MatataBrown gratefully accepts donations from individuals, organisations, and institutions who wish to support our mission. All donations help fund our eye health programmes, outreach activities, education, and research across Nigeria and Africa.
General donation terms
- All donations are voluntary and made freely as charitable gifts to Matatabrown Sight Care Foundation.
- By making a donation, you confirm that the funds are yours to give and have not been obtained through unlawful means.
- MatataBrown reserves the right to decline any donation at its discretion, including where accepting it would conflict with our values, mission, or legal obligations.
- Donations do not confer membership, governance rights, or any ownership interest in MatataBrown.
Restricted and unrestricted gifts
- Unrestricted donations — funds given without stipulation are allocated at MatataBrown's discretion to wherever they are most needed across our programmes and operations.
- Restricted donations — if you wish to direct your gift to a specific programme or project, please contact us at donations@matatabrown.org prior to giving to confirm that the restriction can be honoured.
- MatataBrown is not legally bound to honour programme restrictions unless confirmed in writing by an authorised representative of the organisation.
- If a restricted programme is discontinued, suspended, or fully funded before your donation can be applied, we will contact you to discuss how best to redirect your gift in line with your intentions.
Recurring donations
- You may set up a recurring donation on a monthly, quarterly, or annual basis where this option is offered on our donation page.
- By setting up a recurring donation, you authorise MatataBrown to charge your chosen payment method at the agreed interval until you cancel.
- You may cancel a recurring donation at any time by emailing donations@matatabrown.org at least 5 business days before the next scheduled payment. We will confirm cancellation by email.
- MatataBrown reserves the right to suspend or cancel a recurring donation if a payment fails or if we are unable to process it after reasonable attempts.
- Changes to the amount or frequency of a recurring donation must be made through our donation platform or by contacting us directly.
Refund policy
- All donations are generally non-refundable once processed, as they are immediately committed to our charitable activities.
- If a donation was made in error — for example, a duplicate transaction, incorrect amount, or unauthorised use of a payment method — please contact us within 14 days at donations@matatabrown.org. We will review each request individually and, where appropriate, issue a refund at our discretion.
- Approved refunds will be returned via the original payment method and may take 5–10 business days to reflect, depending on your bank or payment provider.
- MatataBrown is not liable for delays caused by banks or third-party payment processors.
Corporate and matched giving
- We welcome corporate donations and matched giving programmes. If your employer operates a gift-matching scheme, please inform us at the time of donation so we can provide the necessary documentation.
- MatataBrown will provide official donation receipts and supporting letters to facilitate matched giving where required.
- Corporate donations may be recognised in our communications and impact reports unless the donor has requested anonymity.
Donor anonymity
- Donors may request anonymity at the time of giving or afterwards by contacting donations@matatabrown.org.
- Anonymous donors will not be publicly identified in any MatataBrown communications, reports, or materials.
- Anonymity does not affect our legal obligation to maintain internal donation records for financial compliance purposes.
Payment processing
- Donation payments are processed by secure, industry-certified third-party payment processors. MatataBrown does not store full card numbers or sensitive payment credentials.
- By completing a transaction, you confirm that you are the authorised holder or user of the payment method provided and that all information given is accurate and complete.
- MatataBrown is not liable for any failure, delay, error, or security breach caused by a third-party payment processor.
- All transactions are subject to the terms and conditions of the relevant payment processor.
Receipts and tax
- A donation receipt will be sent to the email address provided at the time of giving, typically within 24 hours of a successful transaction.
- Donors are solely responsible for determining the tax treatment of their donation in their own jurisdiction. MatataBrown does not provide tax, legal, or financial advice.
- If you require additional documentation for tax or gift aid purposes, please contact donations@matatabrown.org.
5. Third-Party Fundraising
We welcome and are grateful for individuals and organisations who choose to fundraise on behalf of MatataBrown — whether through sponsored events, community campaigns, digital fundraisers, or other initiatives.
If you are fundraising on our behalf, you agree to the following:
- You must not misrepresent your relationship with MatataBrown or imply that you are acting as an official representative unless explicitly authorised in writing.
- You must not use MatataBrown's name, logo, or branding without prior written permission. To request permission, contact contact@matatabrown.org.
- All funds raised on behalf of MatataBrown must be transferred to us promptly and in full, with a clear record of the source and amount.
- You must not deduct personal expenses from fundraised amounts without our prior written approval.
- You are responsible for complying with any laws or regulations applicable to your fundraising activity in your jurisdiction.
- MatataBrown reserves the right to request that a fundraising activity be modified or discontinued if it conflicts with our values, mission, or reputation.
To register your fundraising activity or get official support materials, please contact us at contact@matatabrown.org before you begin. We love to cheer our fundraisers on.
6. Volunteer Engagement
Submitting a volunteer application through our website does not create a binding agreement or guarantee acceptance. MatataBrown reserves the right to accept or decline any application at its sole discretion, without obligation to provide reasons.
Approved volunteers will be subject to a separate Volunteer Agreement that governs the specific nature, scope, and conditions of their engagement. The following general terms apply to all volunteers:
Code of conduct
- Volunteers are expected to conduct themselves with professionalism, respect, and integrity at all times when representing or engaging with MatataBrown.
- Volunteers must treat all beneficiaries, staff, partners, and community members with dignity and without discrimination on any grounds including gender, age, religion, ethnicity, or disability.
- Volunteers must not engage in any behaviour that could bring MatataBrown into disrepute, including inappropriate use of social media.
- Volunteers working directly with beneficiaries — particularly children or vulnerable adults — must adhere to MatataBrown's safeguarding policies at all times.
Confidentiality
- Volunteers may have access to confidential information about MatataBrown's operations, beneficiaries, donors, or strategies. This information must not be disclosed to any third party without authorisation.
- Confidentiality obligations survive the end of a volunteer engagement and remain in effect indefinitely.
- Volunteers must not take photographs, video, or audio recordings of beneficiaries without explicit consent from MatataBrown staff.
Scope and limitations
- Volunteers may only undertake activities that have been agreed with and authorised by MatataBrown staff.
- Volunteers may not make commitments, agreements, or representations on behalf of MatataBrown without express written authorisation.
- Volunteers are not employees of MatataBrown and are not entitled to remuneration, benefits, or employment protections unless separately agreed in writing.
Termination of volunteer engagement
- MatataBrown reserves the right to end a volunteer's engagement at any time and without prior notice if the volunteer breaches these terms, the Volunteer Agreement, or MatataBrown's policies.
- Volunteers may also end their engagement at any time by providing reasonable notice to their MatataBrown contact.
- Upon the end of an engagement, volunteers must return any materials, equipment, or information belonging to MatataBrown.
Liability during volunteer activities
- Volunteers engage with MatataBrown at their own risk. MatataBrown is not liable for any personal injury, loss, or damage sustained by a volunteer during an unpaid voluntary activity, except where caused by MatataBrown's negligence.
- Volunteers are responsible for ensuring they have appropriate personal insurance where relevant.
- MatataBrown will not be held liable for the actions of volunteers that fall outside the scope of their authorised activities.
7. Partnership Enquiries
Submitting a partnership enquiry through our website initiates a conversation — it does not constitute a legally binding agreement. Any formal partnership between MatataBrown and an external organisation will be governed by a separate written Partnership Agreement signed by both parties.
Until a formal agreement is in place, neither party is bound to proceed or to enter into any arrangement.
You agree to provide accurate and complete information in any enquiry or application form. Providing false or misleading information may disqualify your organisation from consideration and may result in termination of any existing engagement.
8. Newsletter and Communications
By subscribing to our newsletter or opting in to marketing communications, you consent to receiving periodic updates from MatataBrown including programme news, impact stories, fundraising appeals, and event information.
- We will not bombard your inbox. We aim to send communications only when we have something meaningful to share.
- You may unsubscribe from our mailing list at any time by clicking the unsubscribe link in any email or by contacting us at contact@matatabrown.org. We will process your request within 5 business days.
- Unsubscribing from marketing communications does not affect transactional emails, such as donation receipts or responses to your direct enquiries.
- We do not share your email address or contact details with third parties for marketing purposes.
- By subscribing, you confirm that you are the owner or authorised user of the email address provided.
9. Intellectual Property

Prohibited use
- Reproducing, republishing, or redistributing our content for commercial purposes without prior written consent from MatataBrown.
- Removing or altering any copyright notices, watermarks, or attribution statements.
- Using MatataBrown's name, logo, or branding materials — including any variation or derivative — in any way that implies endorsement, affiliation, or partnership without our explicit written approval.
- Creating derivative works from our content without permission.

To request permission to use our content, or to report a suspected infringement, please contact contact@matatabrown.org.
10. User-Submitted Content
If you submit content to us — including messages, feedback, photographs, testimonials, personal stories, or any other material — you grant MatataBrown a non-exclusive, royalty-free, perpetual, worldwide licence to use, reproduce, adapt, translate, and publish that content in connection with our charitable mission and communications across all media, including print, digital, and social.
By submitting content, you confirm that:
- You are the original creator or have the right to submit the content.
- The content does not infringe on the intellectual property rights of any third party.
- The content does not contain material that is unlawful, defamatory, hateful, obscene, or otherwise objectionable.
- You have obtained the consent of any identifiable individuals featured in photographs or stories before submission.
We reserve the right to remove, decline to publish, or edit any submitted content at our discretion. We will not use submitted content in ways that contradict the original intent of the submission without your permission.

If you encounter any accessibility barriers on our website or require content in an alternative format, please contact us at contact@matatabrown.org. We will do our best to accommodate your needs promptly.
Our commitment to accessibility reflects our broader mission — a world where everyone, regardless of ability or circumstance, can engage with and benefit from what we offer.
12. Disclaimers
The information on this website is provided for general informational and charitable purposes only. While we work hard to ensure all content is accurate, current, and complete, MatataBrown makes no warranties — express or implied — including but not limited to:
- The completeness, accuracy, or reliability of any content on the website.
- The continued availability or uninterrupted, error-free operation of the website.
- That the website or its servers are free of viruses or other harmful components.
- The fitness of any information on the website for a particular purpose.
Nothing on this website constitutes medical, legal, financial, or professional advice. Always seek qualified professional guidance for decisions affecting your health, finances, or legal position. MatataBrown accepts no responsibility for actions taken based solely on information found on this website.
13. Limitation of Liability
To the fullest extent permitted by Nigerian law, Matatabrown Sight Care Foundation, together with its trustees, directors, officers, employees, volunteers, and agents, shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages arising out of or in connection with:
- Your access to or use of — or inability to use — this website.
- Any errors, omissions, inaccuracies, or outdated information on the website.
- Unauthorised access to or alteration, loss, or corruption of your data or transmissions.
- Any content, conduct, or actions of third parties accessible through or linked from our website.
- Any interruption, suspension, modification, or termination of the website or any of its services.
- Loss of data, revenue, profits, goodwill, or anticipated savings.
This limitation applies regardless of the legal theory on which any claim is based — whether in contract, tort, negligence, strict liability, or otherwise — and even if MatataBrown has been advised of the possibility of such damages. In jurisdictions that do not allow the exclusion of certain warranties or limitation of liability, our liability shall be limited to the maximum extent permitted by applicable law.
14. Indemnification
You agree to indemnify, defend, and hold harmless Matatabrown Sight Care Foundation, its trustees, directors, employees, volunteers, and agents from and against any claims, liabilities, damages, losses, costs, or expenses — including reasonable legal fees — arising out of or related to:
- Your breach of these Terms and Conditions.
- Your use of the website in violation of any applicable law or regulation.
- Any content you submit, post, or transmit through the website.
- Your infringement of any third party's intellectual property or other rights.
- Any misrepresentation made by you in connection with your use of our services.
MatataBrown reserves the right, at its own expense, to assume exclusive defence and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defence.
15. Third-Party Links and Services
Our website may contain links to third-party websites, platforms, or services — including payment processors, social media networks, partner organisations, and external resources. These links are provided for convenience and informational purposes only and do not constitute an endorsement, sponsorship, or recommendation by MatataBrown.
MatataBrown has no control over the content, accuracy, privacy practices, or availability of any third-party site. We are not responsible for any loss, damage, or harm arising from your use of or reliance on external websites or services. We strongly encourage you to review the terms of service and privacy policies of any third-party site before engaging with it.
16. Governing Law and Disputes
These Terms and Conditions are governed by and construed in accordance with the laws of the Federal Republic of Nigeria, without regard to its conflict of law principles. Any disputes arising from or relating to these terms, your use of this website, or your engagement with MatataBrown shall be subject to the exclusive jurisdiction of the competent courts of Nigeria.
Before initiating any formal legal proceedings, you agree to first contact MatataBrown in writing at contact@matatabrown.org to allow a period of at least 30 days for good-faith negotiation and resolution of the dispute.
Nothing in this clause prevents either party from seeking urgent injunctive or other equitable relief from a court of competent jurisdiction where necessary.
17. Severability
If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, unlawful, void, or unenforceable, that provision shall be deemed severed from the remainder of these terms. The invalidity or unenforceability of any provision shall not affect the validity and enforceability of any other provision, which shall remain in full force and effect.
Where a provision is found to be unenforceable but would be enforceable if modified, it shall be amended to the minimum extent necessary to make it enforceable.
18. Waiver
No failure or delay by MatataBrown in exercising any right, power, or privilege under these Terms and Conditions shall operate as a waiver of that right, power, or privilege. No single or partial exercise of any right or remedy shall preclude any further exercise of the same or any other right or remedy.
A waiver of any breach or default under these terms shall not be construed as a waiver of any subsequent breach or default, nor shall it affect any other terms and conditions.
19. Entire Agreement
These Terms and Conditions, together with our Privacy Policy and any other legal notices published on this website, constitute the entire agreement between you and MatataBrown with respect to your use of this website and our services.
These terms supersede all prior agreements, representations, warranties, understandings, negotiations, or discussions — whether oral or written — between you and MatataBrown relating to the same subject matter.
Where a separate written agreement exists between you and MatataBrown — such as a Volunteer Agreement or Partnership Agreement — that document shall take precedence over these general terms in the event of a conflict.
20. Changes to These Terms
MatataBrown reserves the right to update or modify these Terms and Conditions at any time to reflect changes in our services, practices, or applicable law. When changes are made, we will update the 'Last updated' date at the top of this page.
For material changes — those that significantly affect your rights or obligations — we will provide advance notice through a prominent notice on our website and, where possible, by email to users who have provided their contact details.
Your continued use of the website after the effective date of any changes constitutes your acceptance of the revised terms. If you do not agree to the updated terms, please stop using the website and contact us if you have any outstanding arrangements with us.
